課程概述 Course Description

透過有價證券對公開發行的程序與買賣的討論,引領出關於有價證券的定義,買賣交易,證券商與證券交易,集中市場的相關規範,進而討論有價證券的私募、委託書、公開收購,內線交易,及反詐欺條款的相關議題,使學生能對證券交易法有一個完整的認識。

課程學習目標 Course Objectives

  1. 學生能描述有價證券與證券交易法於現代商業社會之功用與重要性。
  2. 學生能夠分辨解釋各種不同有價證券的類型,同時掌握其不同。
  3. 學生能夠描述各種不同證券交易法所規範之不法行為,並熟悉行為人所涉及之責任。
  4. 學生能分析不同證券詐欺行為所產生之法律問題,並能清楚表達
  5. 學生能夠辨識發行市場與流通市場之法律議題,並運用證券交易法法律規範於實際案例之中。
  6. 學生能以書面或口頭方式將所獲結果與同儕及教師溝通呈現
  7. Students would be able to illustrate the functions and significance of the securities and securities regulation in our modern business environment.
  8. Students would be able to identify and to explain the various types of securities in the capital market.
  9. Students would be able to utilize legal principles that apply to different types of regulated securities.
  10. Students would be able to describe different types of securities frauds and the underpinning legal rationales, and distinguish their legal consequences.
  11. Students would be able to comprehend the difference and issues associated in the primary as well as the secondary markets and apply relevant law and regulation to any given cases.
  12. Students would be able to communicate results in written or oral form to classmates, teaching assistants, and the instructor.
